Section 1. Meetings; Election of Officers. Board meetings shall be held at least quarterly, at a time and place designated by the President. The President, the Vice President or any five(5) members may call such other meetings as necessary to conduct the business of the Board. At the first meeting of alternate years, the Board shall elect from its members a President and Vice President who shall assume the duties of their offices at the close of that meeting and serve for a term of two (2) years. The State Engineer shall be the Secretary-Treasurer of the Board. If an officer resigns or vacates the position prior to the expiration of his/her term, the Board may elect a replacement to serve the remainder of the term.
Section 2. Duties of Officers. The President shall preside at all meetings, appoint committees of the Board, sign all certificates and official documents and otherwise perform all duties ordinarily pertaining to the office of President. The Vice President shall, in the absence or incapacity of the President, exercise the duties of the President. The Secretary-Treasurer shall have charge of the records.
