1. (a) In addition to containing the information required under Sections 3.005 and 3.014, the certificate of formation of a professional association must:

   1. (1) be signed by each member of the association; and

   2. (2) state:

      1. (A) the name and address of each original member of the association; and
      2. (B) that a member of the association may not dissolve the association independently of other members of the association.

2. (b) The certificate of formation of a professional association may contain:

   1. (1) provisions regarding shares or units of ownership in the association;
   2. (2) provisions governing the winding up and termination of the association's business; and
   3. (3) any other provision consistent with state law regulating the internal affairs of a professional association.
