1. (1) Except as otherwise provided in this section, when a transaction bears a reasonable relation to this state and also to another state or nation, the parties may agree that the law either of this state or of the other state or nation shall govern their rights and duties.
2. (2) In the absence of an agreement effective under subsection (1) and except as provided in subsection (3), this code applies to transactions bearing an appropriate relation to this state.

3. (3) If one of the following provisions of this code specifies the applicable law, that provision governs and a contrary agreement is effective only to the extent permitted by the law so specified:

   1. (a) Section 30-2-402;
   2. (b) Sections 30-2A-105 and 30-2A-106;
   3. (c) Section 30-4-102;
   4. (d) Section 30-4A-507;
   5. (e) Section 30-5-136;
   6. (f) Section 30-8-120;
   7. (g) Sections 30-9A-301 through 30-9A-307.
