PURPOSE: The purpose of this rule is to designate the officers of the Board of Curators and set forth the term of office and duties for such officers. The rule further establishes the authority of the Board of Curators to appoint a secretary to the Board of Curators, a treasurer or treasuws and a general counsel. This rule is also found at section 3.0102.2 of the Collected Rules and Regulations of the Uniuersity of Missouri.
- (1) The Board of Curators shall choose from its own membership at the annual meeting a president of the Board of Curators who shall hold office for a term of one (1) year or until a successor has been appointed. The president shall serve as presiding officer of the Board of Curators and shall carry out such duties as may he delegated to him/her by the board.
- (2) The Board of Curators shall choose from its own membership at the annual meeting a vice-president of the Board of Curators who shall hold office for a term of one (1) year or until a successor has been appointed. The vicepresident shall carry out the duties of the president in his/her absence or inability for any XaSOn to serve.
- (3) The Board of Curators at the annual meeting shall appoint a secretary ofthe Board of Curators. The secretary shall keep the minutes of the meetings of the Board of Curators and the executive committee, shall be the official custodian of the seal and all records of the university and shall have such other duties as may be from time-to-time fixed by the board. The board may appoint and define the duties of such assistant secretaries of the Board of Curators as it deems desirable.
- (4) The Board of Curators shall appoint the treasurers as the board may deem necessary and desirable; fix the duties, responsibilities and amount of the bond for each of the treasurers. The treasurers shall perform the duties of their offxes under the direction of the comptroller of the university. - (5) The general counsel shall be the chief legal officer of the university; shall be appointed by the Board of Curators to serve at the pleasure of the board; and shall have such duties and responsibilities as may be assigned by the Board of Curators.
- (6) Any vacancy in any office of the board caused by any reason may be filled by the board for the unexpired term.
(7) The officers of the Board of Curators, elected at the regular annual meeting of the board shall take office on the first day of July following such election.

PURPOSE: The purpose of this rule is to designate committees of the Board of Curators and set forth uarious policies with regard to the operation of such committees. This rule may be found at section 3.0102.3 of the Collected Rules and Regulations of the Uniuersity of MiSSOWi.
- (1) The president of the board, subject to approval of the board, shall appoint from the board an executive committee of three (3) members, and may fill vacancies at any time. The president of the board shall be a member ex officio of the committee and may vote in the absence of any one (1) of the committee members. Such executive committee members shall hold office until their successors have been duly appointed. The executive committee, when the Board of Curators is not in session, shall have the powers of the Board of Curators to take such action as the executive committee may deem to the best interest of the university, provided, however, that such action shall be in accord with the provisions of the bylaws of the board, and not in conflict with the standing rules of the board. A complete record of all actions of the executive committee shall be kept by the secretary of the board and a copy of such record shall be submitted to each member of the Board of Curators monthly. Actions of the executive committee may be ratified, approved or modified at the next meeting of the Board of Curators, but any modifications shall be prospective only. The vote of any members on any question coming before the committee may be taken in person, by telephone, telegraph or letter. Concurrence of three (3) members shall constitute action of the committee.
- (2) The president oftheBoard ofCurators may appoint, subject to approval ofthe boar$ other standing or special committees from time-totime and delegate to the committees such authority as the board may deem appropriate to carry out the objects of the committees. Membership on such committees need not be limited to members of the board.
- (3) Five (5) members of the Board of Curators shall constitute a quorum for the transaction of any and all business of the board.
- (4) Any action by the Board of Curators may be taken by the majority vote of the members present at any meeting of the board when a quorum is present unless otherwise specifically provided in this rule.
- (5) The secretary of the Board of Curators shall keep the minutes of the meetings of the Board of Curators in which shall be recorded the vote on all motions or resolutions coming before the board. The ayes and nays shall be entered if requested by any one of the curators present at such meeting.
(6) So much of the authority of the board as the curators may deem necessary may be delegated to such officers and employees or to committees appointed by theboard provided such delegation of powers shall be given by recorded board action.
