1. A. A regional EMS council shall be organizationally independent of any other entity.
2. B. A regional EMS council shall be governed by a board.

3. C. Articles of incorporation and bylaws shall be in force that specify:

   1. 1. Designated regional EMS council representation;
   2. 2. Method of designated regional EMS council appointments and/or elections;
   3. 3. Governing board representation;
   4. 4. Method of governing board appointments and/or elections;
   5. 5. Tenure of representatives;
   6. 6. Officers, their roles, responsibilities and terms of office;
   7. 7. Quorum requirements;
   8. 8. Meeting attendance requirements and enforcement policies;
   9. 9. Indemnification of officers and directors; and
   10. 10. Dissolution of assets.
4. D. There shall be a minimum of five members with full voting privileges comprising a governing board.
