1. (a) The bylaws of a telephone cooperative may authorize the board to elect an executive committee from the board's membership.
2. (b) The board may delegate to the executive committee the management of the current and ordinary business of the cooperative and other duties as prescribed by the bylaws.
3. (c) The designation of an executive committee and the delegation of authority to the committee does not relieve the board or any director of a responsibility imposed on the board or the director by this chapter.
