1. (a) A corporation shall continuously maintain in this state a registered office and registered agent.
2. (b) A corporation's registered office may, but is not required to be, the same as the corporation's principal office.

3. (c) A corporation's registered agent may be:

   1. (1) an individual who is a resident of this state and whose business office is the same as the corporation's registered office; or

   2. (2) a domestic or foreign for-profit or nonprofit corporation that:

      1. (A) is authorized to transact business or to conduct affairs in this state; and
      2. (B) has a principal or business office that is the same as the corporation's registered office.
