On the issuance of the certificate evidencing the filing of the restated certificate of formation by the secretary of state:

1. (1) the original certificate of formation and all amendments to the original certificate of formation are superseded; and
2. (2) the restated certificate of formation becomes the certificate of formation of the corporation.
