Excluded entities and transactions — Other applicable law

- (a) This Part may not be used to effect a transaction that is prohibited by law of this state other than this chapter.
- (b) If law of this state other than this chapter applies to a transaction that is otherwise within the scope of this Part, the transaction is still subject to such other law.
