1. (1) If the bylaws so provide, the board may elect an executive committee to consist of three or more directors, which committee to the extent provided in the bylaws of the cooperative shall have and may exercise all the authority of the board in the management of the cooperative, except in respect to:

   1. (a) Apportionment or distribution of net proceeds, savings or losses.
   2. (b) Selection of officers.
   3. (c) Filling of vacancies in the board or the executive committee.
2. (2) The board may elect other directors as alternates for members of the executive committee.
3. (3) Designation of an executive committee and the delegation thereto of authority shall not operate to relieve the board or any member thereof of any responsibility imposed upon the board or member by law.
