(2) an employee of the issuer, or of any of the persons listed in paragraph (1) of this subsection, entrusted with responsible handling of the security certificate.
Oklahoma Code Comment
Section 8-205 governs the effect of an unauthorized signature on a security certificate, providing generally that the signature is ineffective, but it will be effective in favor of a purchaser without notice if the signature was made by either the issuer's employee or a person entrusted with certain responsibilities by the issuer.
