“Constituent entity” means:

1. 1. With respect to a merger, each merging or surviving entity;
2. 2. With respect to an exchange, each entity whose owner’s interests will be acquired or each entity acquiring those interests; and
3. 3. With respect to the conversion of an entity or a general partnership, the entity or general partnership that will be converted into another entity.
