1. (a) A foundation's registered agent may resign as registered agent by filing with the secretary of state a notice of resignation.

2. (b) The notice of resignation shall set forth:

   1. (1) The foundation's name; and
   2. (2) The registered agent's name.
3. (c) The notice of resignation may include a statement that the registered office is also discontinued.
4. (d) The secretary of state shall mail a copy of the notice of resignation to the foundation at the foundation's principal office.

5. (e) The appointment of the registered agent shall terminate on the earlier of:

   1. (1) Thirty-one days after filing of the notice of resignation with the secretary of state; or
   2. (2) Upon the appointment of a successor registered agent.
