Minn. Stat. § 317A.701 – Methods of Dissolution

(a) Subject to section 317A.811, a corporation may be dissolved:
1. (1) by the incorporators under section 317A.711;
2. (2) by the board and members with voting rights under sections 317A.721 to 317A.733; or
3. (3) by order of a court under sections 317A.741 to 317A.765.
(b) A corporation also may be dissolved by the secretary of state under section 317A.827.
