1. (a) In this section, “emergency” has the meaning stated in § 2-116 of this subtitle.

2. (b) During an emergency, unless the bylaws contain emergency provisions providing otherwise, notice of a meeting of the board of directors may be given:

   1. (1) Only to those directors whom it is practicable to reach in the circumstances;
   2. (2) In any practicable manner given the circumstances; and
   3. (3) With shorter notice as is reasonable in the circumstances.

3. (c) Any corporate act taken in good faith under this section during an emergency:

   1. (1) Binds the corporation; and
   2. (2) May not be used to impose liability on a director, an officer, an employee, or an agent of the corporation.
