Mass. Gen. Laws ch. 166, § 3
Liability of president and treasurer for wilful neglect or omission
The president and treasurer of such company shall be jointly and severally liable for all its indebtedness, in case of wilful neglect or omission on their part to comply with any provision of section one, two or eleven.
