"Reorganized insurer" means an entity:

1. (1) that is a domestic stock insurance company that is owned entirely or in part by a mutual insurance holding company or an intermediate stock holding company; and

2. (2) the members of which:

   1. (A) may be; or

   2. (B) are entitled to become;

      members of the mutual insurance holding company.
