Sec. 1. (a) Subject to the Constitution of the State of Indiana:

1. (1) the laws of the state or other jurisdiction or country under which a foreign limited partnership is organized govern its organization and internal affairs and the liability of its limited partners; and
2. (2) a foreign limited partnership may not be denied registration by reason of any difference between those laws and the laws of Indiana.
3. (b) A foreign limited partnership is subject to IC 23-16-2-7 . IC 23-16-3-5 and IC 23-16-3-8 apply to foreign limited partnerships as though they were domestic limited partnerships.
