"Organizer" means an entity that:

1. (1) is a nonprofit corporation that is incorporated or registered in Indiana;
2. (2) has been recognized by the Internal Revenue Service to be tax exempt and maintains such tax exempt status; and

3. (3) has an independent board whose members have been elected or selected under the organizer's application and that has entered into a contract under this article to operate a charter school.
