Ind. Code § 16-22-8-17

Governing board; quorum; meeting records

  1. (a) A majority of the board members constitutes a quorum for a meeting. The board may act by an affirmative vote of a majority of the board.
  2. (b) The corporation shall record memoranda from the meeting as required by IC 5-14-1.5-4 .
