1. (1) If a registered limited liability partnership or a foreign registered limited liability partnership dissolves and its business is continued without the termination of the partnership, the registration of the dissolved partnership as a registered limited liability partnership or a foreign registered limited liability partnership remains applicable to the partnership continuing the business, and it is not necessary to make a new filing under s. 620.78 or ¹s. 620.7885 until the registration must be renewed or canceled.

2. (2) The fact that a statement of registration, or a statement of renewal of registration, as a registered limited liability partnership or as a foreign registered limited liability partnership is on file with the Department of State is notice that the partnership is a registered limited liability partnership or a foreign registered limited liability partnership and is notice of all other facts set forth in such statement.
