Except as otherwise provided in this chapter, the articles of organization, or the regulations, no debt shall be contracted nor contractual liability incurred by or on behalf of a limited liability company, except by:

1. (1) One or more of its managers, if management of the limited liability company has been vested by the members in a manager or managers; or
2. (2) Any member, if management of the limited liability company is retained by the members.
