1. A. The Board:

   1. 1. Shall meet at least annually in June and elect the officers specified in A.R.S. § 32-3252(E);
   2. 2. Shall fill a vacancy that occurs in an officer position at the next Board meeting; and

   3. 3. May hold additional meetings:

      1. a. As necessary to conduct the Board’s business; and
      2. b. If requested by the Chair, a majority of the Board members, or upon written request from two Board members.
2. B. The Board shall conduct official business only when a quorum is present.
3. C. The vote of a majority of the Board members present is required for Board action.
