8 CAR § 291-302 – Voting and quorum

(a) Each member of the Board of Directors of the Southeast Arkansas Regional Solid Waste Management District shall have one (1) vote.
(b) A majority of the board members, present in person or represented by proxy, shall constitute a quorum.
(c)
1. (1) All proxies shall be:
  1. (A) In writing; and
  2. (B) Filed with the secretary prior to or at the time of the meeting.
2. (2) Proxies shall only be valid for the specific meeting or agenda item designated therein.
(d) A majority vote of those board members present in person or represented by proxy shall be required for any action of the board.
