(a)

1. (1) The general officers of the Board of Directors of the Southeast Arkansas Regional Solid Waste Management District shall consist of a:

   1. (A) Chair;
   2. (B) Vice chair;
   3. (C) Secretary; and
   4. (D) Treasurer.
2. (2) Officers shall serve one-year terms beginning July 1.

3. (3) Officers shall retain their duties until:

   1. (A) They resign; or
   2. (B) A replacement has been elected by the board.
4. (4) In the discretion of the board, any two (2) or more offices may be held by the same person, except the chair may not hold any other office concurrently.

(b) Chair.

1. (1) The chair shall:

   1. (A) Preside at all meetings of the board; and
   2. (B) Advise with the other officers of the board on matters of policy.

2. (2) He or she shall have other powers and perform other such duties as:

   1. (A) May be incidental to his or her office;
   2. (B) Given to him or her by these bylaws; or
   3. (C) May be assigned to him or her by the board.

(c) Vice chair.

1. (1) In the absence of the chair, the vice chair shall act as chair.
2. (2) In addition, the vice chair shall serve as parliamentarian for the board.

(d) Secretary. The secretary shall:

1. (1) Keep or cause to be kept minutes of the proceedings of the board in appropriate books provided for that purpose;
2. (2) See that all notices are duly given as required by the board; and
3. (3) Perform such other duties as may be assigned or delegated by the chair or board.

(e) Treasurer.

1. (1) The treasurer shall have general charge and custody and be responsible for all funds of the board, deposit or cause to be deposited all moneys received, in the name of the board, in such banks or other depositaries as may be designated by the board.
2. (2) The treasurer shall keep or cause to be kept correct and complete books and records of account and perform all such other duties as may be assigned to him or her by the board.
