(1) A majority of the membership of the Board of Directors of the Faulkner County Regional Solid Waste Management District, present in person or represented by proxy, shall constitute a quorum.
(2) All proxies shall be:
(A) In writing; and
(B) Filed with the chair prior to or at the time of the meeting.
(b) A majority vote of those members present in person or represented by proxy shall be required for any action of the board.
