No person shall have the power to bind the limited liability company, or a series thereof, except:

1. (a) to the extent the person is authorized to act as the agent of the limited liability company or a series thereof under or pursuant to the limited liability company agreement;
2. (b) to the extent the person is authorized to act as the agent of the limited liability company or a series thereof in accordance with Sections 10A-5A-4.07, 10A-5A-7.03, or 10A-5A-11.11; or
3. (c) to the extent provided by law other than this chapter.
