1. (a) At each meeting of members, an individual appointed in one of the following ways must preside as chair:

   1. (1) as provided in the certificate of incorporation or bylaws;
   2. (2) in the absence of a provision in the certificate of incorporation or bylaws, by the board of directors; or
   3. (3) in the absence of both a provision in the certificate of incorporation or bylaws and an appointment by the board of directors, by the members at the meeting.

2. (b) At each meeting of members, the order of business and the rules for the conduct of the meeting must be:

   1. (1) as provided in the certificate of incorporation or bylaws;
   2. (2) in the absence of a provision in the certificate of incorporation or bylaws, established by the board of directors; or
   3. (3) in the absence of both a provision in the certificate of incorporation or bylaws and the establishment by the board of directors, established by the members at the meeting.
3. (c) Any rules established for, and the conduct of, the meeting must be fair to the members.
4. (d) At the meeting the chair may announce when the polls close for each matter voted upon. If no announcement is made, the polls close upon the final adjournment of the meeting. After the polls close, no ballots, proxies, or votes, nor any revocations or changes to ballots, proxies, or votes may be accepted.
