1. (a) As used in AS 21.69.390(d)(8), a "corporate minutes book" must include the minutes of all proceedings of shareholders, members, the board of directors, and each committee of the board of directors. The minutes of the board of directors must include all

   1. (1) resolutions adopted and acts taken by the board of directors; and
   2. (2) resolutions adopted by a committee of the board of directors that must be adopted or approved by the board under AS 21.
2. (b) In this section, "committee of the board of directors" means a committee in which a majority of the members of the committee are members of the board of directors.
