Background

  • In April 2011 Wehr and Catherine Petraglia entered a written contract for Wehr to buy ~100 acres for $380,450; the contract transferred all mineral and oil-and-gas rights and required delivery of a general warranty deed free of encumbrances (except specified exceptions).
  • Closing was repeatedly delayed; title searches revealed an IRS tax lien and a reverse mortgage; Wehr sued for specific performance in Dec. 2011.
  • Parties mediated in Sept. 2012 and signed a settlement (Nov. 2012) adopting the April 2011 contract terms; closing was set for Dec. 15, 2012.
  • Unknown to Wehr, Catherine executed a new paid-up oil & gas lease with Chesapeake in May 2012 that included a $391,000 signing bonus; Wehr discovered the lease during pre-closing title work in Dec. 2012.
  • Wehr moved to enforce the settlement and sought attorney fees; the trial court granted enforcement, awarded Wehr most of the signing bonus (less credits to Catherine), denied Wehr attorney fees for enforcement, and denied Catherine’s enforcement and damages claims. Both parties appealed; the appellate court affirmed.

Issues

Issue Plaintiff's Argument (Wehr) Defendant's Argument (Petraglia/estate) Held
Whether the settlement (which adopted the April 2011 contract) should be enforced so as to prevent Catherine from keeping the Chesapeake signing bonus Settlement incorporated the purchase agreement; Catherine’s execution of a new lease and receipt of the bonus violated the agreement and settlement — bonus should inure to Wehr because opportunity to lease influenced price Catherine contends the Chesapeake lease was merely an extension/ordinary lease; Wehr knew property was leased when he contracted and leases were permitted under the title clause; she also argues Wehr delayed closing and caused damages Court enforced settlement; found sufficient evidence Catherine purposefully delayed closing to obtain bonus and that opportunity to negotiate a lease affected contract price; awarded Wehr the bonus subject to credits to Catherine
Whether Catherine could recover compensatory damages and attorney fees for Wehr’s alleged failure to close (N/A) Wehr argued he complied and sought enforcement Catherine contended Wehr’s refusal to close on Dec. 15, 2012 caused her expenses and she sought compensatory damages and fees Court denied Catherine’s motion for enforcement/damages because it found Catherine breached by obtaining the lease and bonus to her benefit
Whether Wehr was entitled to attorney fees incurred enforcing the settlement Wehr sought fees as compensatory damages flowing from Catherine’s breach of the settlement Catherine argued fees were barred or that billing records lacked sufficient detail and were excessive Court denied Wehr’s fee request: billing entries were too vague and Wehr failed to provide a hearing transcript; appellate court upheld denial for lack of adequate record
Standard of review for enforcement and factual findings (N/A) (N/A) Court must review legal interpretation de novo but factual findings for sufficient evidence; here factual disputes (intent, delay, communications) supported trial court’s findings and were not disturbed
