Background

  • In 2012 VSP Labs and Pro Fix Optix (PFO) contracted for development of eyewear technology; VSP alleges PFO defaulted and VSP incurred costs when it stepped in.
  • VSP sued PFO in California (2013); PFO counterclaimed. PFO filed Chapter 11 in N.D. Tex. in January 2017; Hillair (creditor) purchased PFO’s counterclaims.
  • Bankruptcy court entered a September 7, 2017 Lift Stay Order allowing VSP to liquidate claims against PFO in the California Action but stating that any monetary recovery in excess of PFO/Hillair awards could only be pursued via a proof of claim and that "no money damages or other amounts of any kind may be recovered from Hillair under any circumstance on account of any claims that have been or could have been asserted in the California Action."
  • Discovery prompted VSP to seek leave to add direct claims against Hillair in California; the bankruptcy court (after motion by Hillair) entered an Enforcement Order prohibiting VSP from asserting those claims and later sanctioned VSP for violating the Enforcement Order.
  • VSP sought Rule 60(b) relief (denied); the district court affirmed the bankruptcy court’s jurisdiction, interpretation of the Lift Stay Order, and sanctions. VSP appealed and the Fifth Circuit affirmed.
