Slip Opinion
D. Md.Oct 16, 2015Background
- KC Live (owner of Kansas City Power & Light District) solicited the Baes (restaurant operators) to open a restaurant there, making representions about existing tenant commitments and future development (including condominiums) and projecting $3M annual sales.
- The Baes signed a lease in October 2006; opening was delayed, rent began before opening, and the restaurant did not open until October 2009.
- Upon opening and thereafter, many adjacent and other District lease sites remained vacant and the promised condominiums were never built; the restaurant’s sales averaged about $600,000 per year.
- KC Live sued the Baes in 2011 for unpaid rent; the Baes failed to plead a responsive answer, the clerk entered default, but the parties settled and executed a 2011 Amendment; that action was dismissed without prejudice.
- KC Live sued again in 2014 for breach of contract; the Baes counterclaimed (2015) for fraudulent inducement. KC Live moved to dismiss the counterclaim arguing compulsory-counterclaim bar, waiver/estoppel, failure to state a claim, and statute of limitations.
- The court denied the motion to dismiss: it held the compulsory-counterclaim rule did not apply, declined to consider extrinsic documents on waiver/estoppel at Rule 12(b)(6) stage, found actionable misrepresentations as to existing facts (2005/2007 tenant commitments), and found statute-of-limitations questions of fact precluded dismissal.
Issues
| Issue | KC Live's Argument | Baes' Argument | Held |
|---|---|---|---|
| Compulsory counterclaim (Rule 13(a)) | Counterclaim was compulsory in 2011 suit and is therefore barred now | Baes did not file a responsive pleading in 2011; dismissal was without prejudice so rule does not apply | Denied — Rule 13(a) inapplicable because Baes filed no responsive pleading and prior case was dismissed without prejudice |
| Waiver / Estoppel | 2011 Amendment and 2009 Tenant Estoppel preclude fraud claim | Those documents are extrinsic and not integral to the counterclaim; cannot be considered on 12(b)(6) without conversion to summary judgment | Denied at 12(b)(6) stage — court excluded extrinsic documents and did not adjudicate waiver/estoppel |
| Failure to state a fraud claim (Missouri law) | Alleged misrepresentations (condos, national tenants, $3M sales) are nonactionable predictions | Some statements (2005/2007 representations about existing tenant commitments) concerned existing facts and are actionable | Partial denial — fraud claim survives only as to representations about existing facts (tenant commitments), not predictions about future development or sales |
| Statute of limitations (5-year Missouri period) | Claim accrued by 2009 and is time-barred | Baes allege they could not ascertain damages until mid-2010; cause of action therefore timely filed in 2015 | Denied — accrual timing is a factual question; court accepts Baes’ allegation that accrual occurred by June–Aug 2010 and thus statutory bar not resolved on motion |
