Background

  • Plaintiffs are trustees (and also beneficiaries) of the Harvey M. Hoffman & Janice E. Hoffman Revocable Trust who sued Hammerhead Construction LLC and Stephen Rivera over alleged overbilling and defective work.
  • Plaintiffs moved to amend their complaint to (1) add the Hoffmans in their individual capacities and (2) add Jennifer Firestone as an individual defendant.
  • The Magistrate Judge denied both parts of the motion, finding the request to add the Hoffmans untimely and unjustified and denying joinder of Firestone for lack of diligence, failure to plead with particularity under Rule 9(b), and futility (insufficient aiding-and-abetting allegations).
  • Plaintiffs objected under Fed. R. Civ. P. 72(a). The district court reviewed for clear error on facts and de novo on legal issues.
  • The district court: (a) affirmed the Magistrate Judge as to adding the Hoffmans individually (denial sustained for protracted, unjustified delay), and (b) reversed as to Firestone, finding the Magistrate erred on diligence and pleading standard and concluding amendment to add Firestone was not futile.
  • The court ordered Plaintiffs to file an amended complaint consistent with the opinion by October 6, 2023.

Issues

Issue Plaintiff's Argument Defendant's Argument Held
Adding the Hoffmans individually Amendment was timely under the scheduling order; no extra discovery needed; trustees/beneficiaries are real parties and may sue in their names Amendment was unduly delayed; plaintiffs and counsel should have named them earlier; delay unjustified Denied — district court upheld the Magistrate Judge: delay was protracted and unjustified, so addition of Hoffmans in individual capacities refused
Adding Jennifer Firestone as a defendant Defendants failed to disclose Firestone in Rule 26(a) disclosures; her role only surfaced in deposition; complaint pleads aiding-and-abetting with sufficient particularity Plaintiffs were not diligent; failed to plead fraud with particularity under Rule 9(b); aiding-and-abetting elements (knowledge and substantial assistance) not adequately alleged; amendment futile Granted — district court sustained objections: Magistrate erred regarding Rule 26(a) disclosure and applied an overly demanding pleading standard; claims against Firestone are not futile and amendment is allowed
